1. Introduction

Welcome to Jamez Dudley LLC. These Terms and Conditions outline the rules and regulations for the use of our services, including consultancy, Org Wise learning hub, and related services. By accessing this website and/or engaging with our services, you accept these Terms and Conditions in full. If you do not agree with these terms, please do not continue to use our services or website.

2. Definitions

  • “Company,” “We,” “Us,” or “Our” refers to Jamez Dudley LLC, including any affiliates, employees, and agents.

  • “Client” or “You” refers to the individual or organization utilizing our services.

  • “Services” refers to consulting services, grant writing, organizational development, strategic planning, and all other services provided by Jamez Dudley LLC, including access to Org Wise and related educational materials.

3. Use of Services

  • Our services are intended for lawful purposes only. By using our services, you agree to comply with all applicable local, state, national, and international laws and regulations.

  • You agree not to use our services in any way that may damage, disable, overburden, or impair our operations or interfere with any other party’s use of our services.

  • All information provided to Jamez Dudley LLC by you must be accurate, complete, and up-to-date.

4. Payment Terms

  • Consulting Services: Payment terms for consulting services are outlined in specific agreements or proposals provided prior to project commencement. Payment for services is required based on the agreed schedule (e.g., deposits, installments).

  • Org Wise Membership: The Org Wise membership fee is a one-time payment of $125, granting access to courses and materials for one year. This fee is non-refundable once payment is made and access to the learning hub is provided.

  • Late Payments: If payments are not made by the agreed-upon due dates, we reserve the right to suspend or terminate services. Jamez Dudley LLC also reserves the right to charge interest on overdue amounts at the rate of 1.5% per month.

5. Cancellation and Refund Policy

  • Consulting Services: If you wish to cancel your engagement with Jamez Dudley LLC, you must notify us in writing at least 14 days in advance. Refunds for consulting services may be provided at our discretion, depending on the stage of project completion. Non-refundable fees will apply for work already completed.

  • Org Wise Membership: Membership fees for Org Wise are non-refundable once access is granted, regardless of usage or participation levels. You may cancel your membership at any time, but no refunds or prorated fees will be issued for any remaining period of the membership.

6. Intellectual Property

  • All content, materials, courses, documents, and information provided through Jamez Dudley LLC or Org Wise are owned by Jamez Dudley LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. No materials may be copied, reproduced, modified, republished, uploaded, posted, or distributed in any form without prior written permission.

  • You may not use any content from Org Wise or other Jamez Dudley LLC materials for commercial purposes without explicit written consent.

7. Confidentiality

  • We respect the privacy of our clients and maintain confidentiality regarding any proprietary or sensitive information shared with us in the course of providing services. We will not disclose any client information to third parties without prior consent, except as required by law.

  • By utilizing our services, you agree to maintain the confidentiality of any proprietary information, materials, or trade secrets shared by Jamez Dudley LLC in the course of your engagement.

8. Limitation of Liability

  • Jamez Dudley LLC shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your use of our services, even if we have been advised of the possibility of such damages.

  • We make no guarantees regarding specific outcomes or results from using our services, as these may vary depending on numerous factors beyond our control.

  • In no event shall our total liability to you exceed the amount paid by you for the services in question.

9. Indemnification

  • You agree to indemnify and hold harmless Jamez Dudley LLC, its employees, contractors, agents, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your use of our services, breach of these Terms and Conditions, or violation of any law or the rights of a third party.

10. Termination of Services

  • Jamez Dudley LLC reserves the right to terminate or suspend services, including access to Org Wise, without notice if you violate these Terms and Conditions or engage in any conduct that we deem inappropriate or harmful to our business.

  • Upon termination of services, any outstanding payments owed by you will remain due, and no refunds will be issued for any unused portion of services or membership.

11. Changes to Terms and Conditions

  • Jamez Dudley LLC reserves the right to update or modify these Terms and Conditions at any time without prior notice. It is your responsibility to review this page periodically for any changes. Your continued use of the services after changes are made constitutes your acceptance of the updated terms.

12. Dispute Resolution and Governing Law

  • Any disputes arising from these Terms and Conditions or your use of our services shall be resolved through binding arbitration in the state of Georgia, unless otherwise agreed upon.

  • These Terms and Conditions shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict of law principles.

13. Force Majeure

  • Jamez Dudley LLC shall not be liable for any failure or delay in performing services or obligations due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, strikes, or acts of government.

14. Entire Agreement

  • These Terms and Conditions constitute the entire agreement between you and Jamez Dudley LLC regarding the use of our services and supersede any prior agreements or understandings.
